Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Quan platform, including our website (lead-ai.in), applications, and related services.

By accessing or using Quan, you agree to be bound by these Terms. If you do not agree, do not use the Service.

• "You," "User," "Customer": The individual or legal entity accessing and using Quan.
• "Account": Your registered user account on the Platform.
• "Organization": Your company or business entity using the Service (for multi-user accounts).
• "Content": Any data, text, images, videos, files, or other materials you upload, create, or transmit through the Service.
• "Lead": Prospective customer contact information you collect or upload for marketing campaigns.
• "Campaign": A marketing outreach sequence you create using the Platform to contact leads via WhatsApp.
• "CRM": Customer Relationship Management — the suite of tools within Quan for managing contacts, deals, pipelines, and customer interactions.
• "Pipeline": A structured sales workflow within the CRM used to track and manage deals across different stages.
• "Deal": A tracked sales opportunity associated with a lead or contact within the CRM pipeline.
• "Dashboard": The main overview screen within the Platform displaying analytics, pipeline status, and activity summaries.
• "WBA": WhatsApp Business Account connected to your Quan account.
• "Template": Pre-approved WhatsApp message format approved by Meta for use in campaigns.
• "AI-Generated Content": Buyer personas, template suggestions, and other content created by our AI algorithms.

3.1 Eligibility: To use Quan, you must be at least 18 years of age, have legal capacity to enter into binding contracts, represent a legitimate business or organization, not be subject to international sanctions, and not be prohibited from using the Service under Indian law. Quan is a B2B service — personal, non-commercial use is not permitted.

3.2 Account Creation: You must provide your full legal name, valid email, phone number, company name, and billing information. You represent that all information is accurate and you will update it promptly if it changes. You will not impersonate any person or entity or create multiple accounts to evade restrictions.

3.3 Organization Accounts: The Organization Owner has full administrative control and is responsible for all activities under the account. Each user must create their own individual account and act as an agent of the Organization.

3.4 Account Security: You are responsible for maintaining confidentiality of your credentials and all activities under your account. Notify us immediately of unauthorized access at security@lead-ai.in. We are not liable for losses from unauthorized use.

3.5 Account Termination by You: You may terminate via account settings or by emailing support@lead-ai.in. Access ceases immediately, data is deleted per our Privacy Policy, and you remain responsible for fees incurred before termination.

4.1 What Quan Provides: Project management with AI buyer personas, lead mining sourced from open sources, public records, and paid data vendors, WhatsApp campaign creation and execution, conversation management, CRM with pipeline and deal tracking, analytics, and budget/wallet management.

4.2 What Quan Does NOT Provide: We are NOT a WhatsApp Business Account provider (you must create your own WBA with Meta), a lead data provider (we facilitate connections to third-party sources), a real estate brokerage, or responsible for Meta's decisions on template rejections or account suspensions.

4.3 Service Availability: We strive for 99.9% uptime. Scheduled maintenance will be announced 48 hours in advance. The Service is provided "as is" and "as available" — we do not guarantee uninterrupted or error-free service.

4.4 Changes to the Service: We reserve the right to modify, suspend, or discontinue any feature at any time, and to change pricing with 30 days notice. We are not liable for modifications to the Service.

5.1 Permitted Uses: Promote legitimate real estate projects, conduct lawful marketing campaigns, manage customer relationships, and analyze marketing performance.

5.2 Prohibited Uses — You may NOT:

• Send spam or unsolicited commercial messages (violates TRAI DND regulations)
• Engage in fraud, scams, or deceptive practices
• Violate any Indian or international law
• Send content containing hate speech, discrimination, harassment, or violence
• Target minors (under 18) with marketing
• Reverse engineer, decompile, or attempt to extract source code
• Scrape, crawl, or data mine the Platform
• Create fake accounts or use bots
• Sell, resell, or sublicense access without authorization
• Send messages to users who have not opted in (where consent is required)
• Ignore opt-out requests from leads
• Violate Meta's WhatsApp Business Policy or Commerce Policy
• Upload illegally obtained lead data

5.3 Enforcement: Violations may result in a warning, temporary or permanent account suspension, deletion of violating content, reporting to law enforcement, or legal action. You are liable for all consequences including legal penalties, civil damages, and investigation costs.

6.1 Our Intellectual Property: Quan owns the Platform, all trademarks, logos, branding, AI algorithms, platform design and functionality, and all documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes.

6.2 Your Content and Data: You retain ownership of project details, lead data, campaign content, and any other content you provide. You grant Quan a worldwide, royalty-free, non-exclusive license to store, process, and display your Content to provide the Service, and to use it in anonymized/aggregated form to improve AI models. This license ends when you delete your Content or terminate your account (except anonymized data).

6.3 AI-Generated Content: You own the AI-generated output (personas, templates), but acknowledge it is generated by our AI, not human-created. We do not guarantee accuracy, completeness, or suitability. You are responsible for reviewing AI suggestions before use.

Feedback: If you provide suggestions about the Service, we may use them to improve the Platform without compensation to you.

Your privacy is governed by our Privacy Policy (lead-ai.in/privacy), which explains what data we collect, how we use and protect it, and your rights under Indian data protection laws (DPDP Act 2023). By using Quan, you consent to our Privacy Policy.

7.1 Your Responsibilities as Data Controller: When you use Quan to process lead data, you are the Data Controller/Fiduciary under DPDP Act 2023 and we are the Data Processor. You are responsible for obtaining lawful consent from leads where required, complying with TRAI DND regulations and WhatsApp policies, honoring opt-out requests, ensuring data accuracy, and notifying leads of data collection where required by law.

7.2 Lead Complaints: If a lead complains about receiving unwanted messages, you must investigate and respond promptly, and honor opt-out requests immediately. Accounts generating excessive complaints may be suspended to protect the Platform's reputation and WhatsApp account standing.

8.1 Subscription Plans: Available at lead-ai.in/pricing. All prices are in Indian Rupees (₹) and exclude 18% GST. Current plans:

• Starter: Free for the first 12 months; ₹4,999/month thereafter. Includes up to 5 team members, 2,000 leads/month, full CRM, WhatsApp integration, and basic AI features.
• Growth: Free for the first 12 months; ₹14,999/month thereafter. Includes up to 20 team members, 10,000 leads/month, full CRM + Leads Platform, AI Voice Calling agent, and full AI automation suite.
• Enterprise: Custom pricing — contact sales. Includes unlimited team members, unlimited leads, dedicated account manager, and custom AI model training.

8.2 Free Year: All new users receive 12 months of full plan access at no cost. No credit card required during the free year. One free year per customer. You will be notified 60 days and 30 days before the free period ends.

8.3 Payment Terms: Subscriptions auto-renew monthly or annually on the billing date after the free year. Accepted: Credit/Debit Card, UPI, NEFT, Net Banking. Processed by Razorpay. Invoices emailed within 2 business days of payment.

8.4 Pricing Changes: We may change prices with 30 days advance notice. Changes apply to the next billing cycle. You may cancel before the change takes effect.

8.5 Late Payment: Failed payments are retried 3 times over 7 days. Accounts may be suspended if payment is not received. Data remains accessible (read-only) during suspension.

8.6 Refund Policy: 30-Day Money-Back Guarantee for first-time paying customers only (after the free year). Request before 30 days of the paid cycle expire. Does not apply to renewals. Email billing@lead-ai.in.

8.7 Taxes: 18% GST applies to all services in India. You are responsible for any other taxes in your jurisdiction. Your GSTIN (if provided) will be included on invoices.

8.8 Wallet: Add funds to main wallet and allocate to services (Campaigns, Lead Mining, Google Ads, Meta Ads). Campaign creation locks estimated costs. Unused wallet funds are non-refundable but transferable between services within your account.

9.1 WhatsApp Business API (Meta): You must create your own WBA, comply with WhatsApp Business and Commerce Policies, obtain Meta approval for all templates, and maintain good account standing. We are NOT responsible for Meta rejecting templates, suspending your WBA, API downtime, or changes to WhatsApp policies.

9.2 Lead Data Sources: Lead data is sourced from open sources, public records, and paid data vendors. You acknowledge that data accuracy depends on these sources and we do not guarantee data quality or legality. You are responsible for verifying data before use and complying with all applicable laws when using this data.

9.3 Payment Gateway: Payments processed by Razorpay. We do not store complete credit card details. Payment provider handles PCI-DSS compliance.

9.4 Other Integrations: You authorize data sharing between Quan and connected services. You are responsible for maintaining integrations. We are not liable for issues caused by third-party service failures.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim: merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated content or lead data, uninterrupted or error-free availability, and any specific sales results, conversions, or ROI.

We are NOT responsible for: WhatsApp/Meta policy changes or account suspensions, lead data source errors, payment gateway outages, user-generated content violating laws, or losses from data breaches at third-party services.

AI Limitations: AI-generated content may contain errors, biases, or inaccuracies. It should be reviewed by humans before use and is not a substitute for professional judgment. You use AI features at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, WE ARE NOT LIABLE FOR: Indirect, incidental, consequential, or punitive damages; lost profits, revenue, or business opportunities; lost data; cost of substitute services; business interruption; or reputational harm — even if advised of the possibility of such damages.

Liability Cap: Our total liability for all claims arising from or relating to the Service is limited to the total amount you paid to Quan in the 12 months preceding the claim.

Exceptions — the above limitations do NOT apply to: Death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, willful misconduct or gross negligence, violations of data protection laws (DPDP Act 2023), or any liability that cannot be excluded under Indian law.

Force Majeure: We are not liable for delays or failures caused by natural disasters, war, government actions, internet failures, third-party service outages, or other events beyond our reasonable control.

12.1 Your Indemnification Obligation: You agree to indemnify, defend, and hold harmless Quan, its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your violations of these Terms, our policies, or any law or regulation
• Your campaigns, content, or messages sent via the Platform
• Infringement of third-party rights (intellectual property, privacy)
• Data you upload, including illegally obtained or inaccurate lead data
• Claims from leads alleging spam, harassment, or privacy violations
• Regulatory fines from TRAI or Data Protection Board

12.2 Defense and Settlement: We will notify you promptly of any claim. You will assume control of the defense and will not settle without our prior written consent if the settlement affects us. We may assume exclusive defense if you fail to defend promptly or our interests are at risk.

12.3 Our Indemnification (Limited): We will indemnify you from third-party claims that the Platform itself infringes their intellectual property rights, limited to direct damages when you used the Platform in compliance with these Terms.

13.1 Termination by You: Via Account → Delete Account or by emailing support@lead-ai.in. Access ceases immediately. No refund for remaining subscription period (unless covered by refund policy). Outstanding fees remain due.

13.2 Termination by Us: We may suspend or terminate your account immediately for policy violations (these Terms, Acceptable Use Policy), illegal activities, repeated failed payments (delinquent for 30 days), threats to Platform security, excessive lead complaints, legal requirements, or fraud/abuse.

13.3 Effect of Termination: Your access is immediately revoked. Active campaigns are stopped. Your data is deleted within 30 days per our Privacy Policy. The following survive termination: Intellectual Property Rights, Indemnification, Limitation of Liability, Dispute Resolution, and any accrued payment obligations.

Important: Export your data before terminating. We are not obligated to provide data after account deletion.

14.1 Governing Law: These Terms are governed by the laws of India and the state of Maharashtra, without regard to conflict of law principles.

14.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

14.3 Dispute Resolution Process:

• Step 1 — Informal Negotiation (30 days): Contact us in writing at legal@lead-ai.in. We respond within 7 days and negotiate in good faith for 30 days.
• Step 2 — Mediation (60 days, optional): Neutral mediator agreed upon by both parties. Each party bears own costs plus half of mediator fees.
• Step 3 — Arbitration (binding): Governed by the Arbitration and Conciliation Act, 1996. One arbitrator. Seat: Mumbai, India. Language: English. Award is final and binding.

14.4 Class Action Waiver: Disputes will be resolved on an individual basis only. You waive any right to participate in a class action or bring representative actions on behalf of others.

14.5 Time Limit: Claims must be brought within 1 year of the date the cause of action arose.

Entire Agreement: These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Quan, superseding all prior agreements.

Amendments: We may modify these Terms at any time. Material changes require 30 days advance notice via email and in-app banner. Continued use after the effective date constitutes acceptance.

Severability: If any provision is found invalid, it will be modified to the minimum extent necessary. All other provisions remain in full force.

Waiver: Our failure to enforce any right does not constitute a waiver. Any waiver must be in writing.

Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or successor in a merger or acquisition.

Relationship: Quan and you are independent contractors. These Terms do not create a partnership, joint venture, agency, or employer-employee relationship.

Notices: Legal notices to legal@lead-ai.in. We contact you at your registered email address. Email notices are effective 24 hours after sending.

Language: These Terms are written in English. If translated, the English version governs in case of conflict.

By using Quan, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
